1. General Provisions

  1. 1.1. Applicability.

    2. This Agreement shall apply to all users of the Services, including without limitation, those who are Property Owners, or those who are contributors of content, information, and other materials to the Platform. If you are entering into this Agreement on behalf of a business entity or other legal entity, the term "you" shall mean the entity on whose behalf you are using the Services, and you hereby covenant and warrant that you possess the requisite authority to bind said entity to this Agreement.

  2. 1.2. Modification of Terms.

    3. Tokkatok reserves the right, at its sole and absolute discretion, to modify or amend the terms and conditions of this Agreement at any time. Any and all such modifications shall be effective upon the posting of the revised Agreement on the Platform. Your continued use of the Services following the date on which the amended terms are posted shall constitute your affirmation and acceptance of such amended terms.

2. Account Registration, Maintenance, and Security

  1. 2.1. Account Creation.

    2. In order to access certain features of the Platform, you shall be required to register and create an account ("Account"). By creating an Account, you covenant and warrant that you are at least eighteen (18) years of age, or possess legal parental or guardian consent, and are fully able and competent to enter into, and be bound by, the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement.

  2. 2.2. Account Responsibility.

    3. You bear sole responsibility for all activities and transactions conducted under your Account and for maintaining the confidentiality and security of your Account password. You shall notify Tokkatok immediately of any unauthorized use of your Account or any other breach of security. Tokkatok shall not be liable for any loss or damage of any kind whatsoever arising from your failure to comply with this Section 2.2.

  3. 2.3. Account Prohibitions.

    You shall not lend, transfer, or sell your Account or user ID to any other party, whether by operation of law or otherwise. You shall not utilize another user's Account without their express, prior written permission.

3. Obligations of the Parties

  1. 3.1. Obligations of the Property Owner.

    2. You covenant and agree to the following obligations:

    • Truthful and Accurate Listings: To provide, at all times, truthful, accurate, and complete Content for all property listings. You shall promptly update your listings to reflect any changes in the property's availability, characteristics, or pricing.
    • Compliance with Law: To comply with all applicable local, national, and international laws, ordinances, rules, and regulations related to the listing, rental, sale, or lease of properties, including but not limited to, laws concerning real estate licensure, zoning, fair housing, and consumer protection.
    • Responsibility for Transactions: To bear sole responsibility for all aspects of any transaction that arises from or is facilitated by the Platform, including but not limited to, negotiations, due diligence, contracts, disclosures, and background checks. Tokkatok is not a party to any such transaction.
    • Timely Communication: To respond in a timely and professional manner to all inquiries, communications, and requests from potential tenants or buyers.
  2. 3.2. Obligations of Tokkatok.

    3. Tokkatok covenants and agrees to the following obligations:

    • Platform Provision: To provide and maintain the Platform as a digital venue for Property Owners to list properties.
    • Reasonable Efforts: To exercise commercially reasonable efforts to ensure the functionality and availability of the Platform.
    • No Fiduciary Duty: To be an independent contractor and not your agent, broker, or representative. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or fiduciary relationship between you and Tokkatok.

4. Property Listings and Content

  1. 4.1. Content and Accuracy.

    2. You shall bear sole responsibility for all listings, descriptions, photographs, data, and other content ("Content") that you upload, post, or otherwise disseminate through the Services. You hereby covenant and warrant that all of your Content is truthful, accurate, and not misleading in any material respect.

  2. 4.2. Intellectual Property Rights.

    You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize Tokkatok to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all Content to enable inclusion and use of the Content in the manner contemplated by the Services and this Agreement.

  3. 4.3. Prohibited Content and Conduct.

    4. You shall not, under any circumstances, post, upload, or transmit any Content that is:

    • Defamatory, libelous, fraudulent, or tortious.
    • Illegal, inappropriate, or in violation of any applicable law, rule, or regulation.
    • Designed to mislead or deceive other users, including but not limited to, misrepresentation of a property's condition or availability.
    • In violation of any of Tokkatok's prevailing policies and guidelines.
  4. 4.4. Monitoring.

    5. Tokkatok reserves the right, but not the obligation, to monitor, review, and, in its sole and absolute discretion, to remove, edit, or disable any Content at any time and for any reason, including without limitation, if it believes such Content violates this Agreement or is otherwise harmful, fraudulent, or objectionable.
